AB 2084 Safeguards Nonprofits Against Federal Threats
Governor Gavin Newsom has officially signed Assembly Bill 2084 by Assemblywoman Rebecca Bauer-Kahan (D-Orinda) into law! Sponsored by CalNonprofits, AB 2084 secures California’s authority to protect nonprofits’ state tax-exempt status when federal tax-exemption revocations unjustly target their speech, mission-driven activities, or viewpoints.
AB 2084 is a critical step in our proactive efforts to defend California’s nonprofits against federal attacks, directly building on our 2025 victory with AB 1318 (Bonta). Together, these two laws form a state-level shield for state tax-exempt status and eligibility for state funding:
- AB 1318 – Funding Protection: Expanded the definition of a “qualified nonprofit” to include state tax-exempt status so organizations can maintain access to state grants and contracts even if federal tax-exempt status is unjustly jeopardized by political targeting.
- AB 2084 – State Status Protection: Gives the Franchise Tax Board discretion to review and maintain an organization’s state tax-exempt status when federal revocations are not driven by fraud, failures to file, or other financial misconduct.
Combined, these measures assert California’s authority to safeguard its social safety net and ensure our state’s values – and the essential services nonprofits provide – are insulated from federal attacks.
Why AB 2084 Matters: Understanding the Loophole
🚩 The Problem: Since 2008, FTB Form 3500A has allowed nonprofits to streamline state tax-exempt status by piggybacking on federal 501(c)(3) approval. While efficient, this system creates a precarious dependency: under existing law, if the IRS revokes an organization’s tax-exempt status – even if politically motivated – California was required by state law to automatically revoke state tax exemption for 3500A filers, too.
✅ The Solution: AB 2084 amends the Revenue and Taxation Code to separate state and federal revocations for the 3500A filings. The Franchise Tax Board now has explicit authority to review IRS actions, exercise discretion, and maintain state tax exemption when a federal revocation lacks merit or is politically driven.
📣 What You Should Do Now: To further safeguard your organization, CalNonprofits recommends initiating the standard FTB Form 3500 process for a stand-alone state tax exemption. Because this process can take up to 11 months, acting early helps ensure uninterrupted protection for your mission. Find more details here.
“CalNonprofits will continue to aggressively use every tool at our disposal – advocacy, legislation, and litigation – to defend the sector, uphold due process, and protect your ability to carry out your missions. Thank you to Assemblymember Bauer-Kahan for her bold leadership, and to Governor Newsom for signing AB 2084.” – Geoff Green, CalNonprofits CEO
